What clauses should every freelance contract include?

Parties (full legal names/addresses); scope of work (including explicit exclusions); deliverables and milestones; payment terms (amount, schedule, method, invoice terms); late payment interest; IP ownership; confidentiality; termination (notice period, work-in-progress handling); limitation of liability; governing law and jurisdiction.

Who owns the intellectual property in a freelance project?

In most countries (UK, US) the default is the creator (freelancer) owns the IP. To give the client ownership, the contract must explicitly assign it. Options: (1) Full IP assignment to client on full payment — what most clients expect; (2) Licence only — freelancer retains ownership, grants client a usage licence; (3) Shared IP — rare, complex. State the IP position clearly to avoid disputes.

Does a contract need to be signed to be legally binding?

Not necessarily — a contract is binding when there is offer, acceptance, consideration and intention to create legal relations. This can happen by email, clicking "I agree" or verbally. However, a signed written contract is strongly recommended. Electronic signatures (DocuSign, typed name in email) are legally valid in most countries.

What is a limitation of liability clause and do I need one?

A LoL clause caps your maximum financial exposure if something goes wrong. Without one, a client could claim unlimited damages from even a small mistake. Typical clauses cap liability at total fees paid and exclude consequential losses. Essential for sole traders without extensive professional indemnity insurance. In the UK, must be "reasonable" under UCTA 1977.
